Please read the following terms carefully. By downloading, installing, accessing, or using the SPIDERCARD
application (the "App"), website (the "Website"), and any related services provided by
SpiderWeb Group Limited (the "Company", "we", or "us") (collectively, the "Service"), you acknowledge that you have
read, understood, and agree to be bound by these Terms of Service (the "Terms").
If you do not agree to any part of these Terms, please do not download, install, or use the App.
In these Terms, "you", "your", or "user" refers to any individual or entity using the Website, App, or Service.
"SPIDERCARD", "we", or "our" refers to SpiderWeb Group Limited.
If you are under the age of 13, you may not use our Service. If you are between 13 and 18 years of age, you hereby
agree that your legal guardian has read these Terms and consents to your being
bound by them.
We reserve the right to modify these Terms. In the event of material modifications, the Company will notify you via
in-App push notifications, announcements, or email prior to the effective date
(e.g., fifteen days in advance). Your continued use of the Service after the modified Terms take effect constitutes
your acceptance of the updated Terms. If you do not agree to the modifications,
please discontinue your use of the Service and you may terminate your account before the effective date.
1. Services Provided by SPIDERCARD
SPIDERCARD is a cloud-based business card platform designed to replace traditional paper business cards and
conventional business workflows with a paperless, contactless, eco-friendly, and
efficient electronic business card exchange experience. Features include but are not limited to:

Electronic Business Card Creation and Sharing: Create personal or commercial electronic business cards and
share them through multiple channels.

Business Card Scanning and OCR Recognition: After taking a photo or selecting an image via camera or photo
library, the system will invoke an OCR model to detect and recognize text
information on the business card. Each scan deducts one scan credit.
-
Business Card Data Management: Add, delete, modify, and search business card data.
-
Business Card Data Export: Support single or batch export of VCF contacts or Excel files.
-
Public Electronic Card Display: All your "public" electronic business cards will be displayed on the App
platform and can be searched and contacted by other users in real time.
-
Instant Messaging: Communicate with clients and partners in real time without using other messaging
software.
-
NFC Card Exchange: Exchange electronic business cards with others via NFC functionality.
2. Registration and Account
-
You must create an account to log in and use the Service and SCOINS token services. Information provided
during registration must be truthful, accurate, and complete, and must be kept
up to date.

You are responsible for all activities conducted under your account, including the phone number provided
during registration. Keep your phone number secure; only you may use it. If you
suspect or discover that your account has been compromised, please notify us immediately at support@spidercard.com.

Each account and SCOINS balance is non-transferable; data and purchased items belong solely to the account
owner.

We may suspend or delete your account if you violate these Terms and fail to make improvements after being
notified to do so. However, in cases of severe violations (e.g., fraud, illegal
transactions, severe infringement of others' rights), the Company may suspend or delete your account without
prior notice.
3. Usage Terms and Restrictions
Users of the Service are bound by the following terms, including but not limited to:

You must be at least 13 years of age.

You may not register an account on behalf of another person or impersonate another person's name or phone
number.

You understand and agree that you are responsible for all content you publicly or privately transmit,
upload, publish, or distribute through SPIDERCARD.
-
You agree not to collect any personal data without the consent of the data subject.
-
You agree that we may be required to retain or provide/disclose your content to comply with applicable laws
or regulations.
-
You fully understand and agree that SPIDERCARD is an online service that may experience temporary service
interruptions due to force majeure events such as natural disasters or network
issues. We will restore service as soon as possible but shall not be liable for any direct or indirect
losses.

If you use NFC to exchange business cards, you should carefully verify the authenticity of the information
and guard against any potential online or offline risks.
-
You agree not to use any automated tools to scrape, monitor, or copy any content or data from the App.
-
You agree not to reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.
4. User Content License and Guidelines
-
When using SPIDERCARD or interacting with other users, you may send, upload, or provide content (such as
data, documents, images, text, etc., collectively "Content"). You agree that:
- Your data must be truthful and accurate. You shall bear all corresponding legal responsibility for
any content you upload or publicly send.
- You shall not distribute any messages that promote illegal transactions in violation of laws or
regulations.
- You shall not infringe upon any third party's rights, including but not limited to privacy,
copyright, trademark, publicity rights, and other intellectual property rights.
- Content must not contain anything that may be construed as threatening, degrading, defamatory,
pornographic, discriminatory, or otherwise illegal or inappropriate.
- Content must not contain unauthorized advertising, promotional materials, or any form of
solicitation (such as spam, phishing links, virus links, etc.).
- Content must not include information you have no legal right to publish (such as insider information
or other confidential information).

Regarding uploaded or transmitted content, you grant the Company a royalty-free, non-exclusive license to
use, reproduce, adapt, modify, translate, distribute, and sublicense such
content solely for the purpose of providing, improving, and developing the Service. Regarding content
involving personal data (such as business card information), the Company will only
process such data within the scope necessary to provide the Service and will never use it for external
marketing or promotional purposes without your explicit authorization.

Notice and Takedown Procedure: If any third party believes that user content on the App platform infringes
upon their intellectual property rights, they should notify the Company in
writing (support@spidercard.com) and provide the following
information: (a) identification of the rights holder or their authorized
representative; (b) a specific description of the allegedly infringing content and its location on the
platform; (c) documentation proving the rights holder's ownership of the relevant
rights; (d) a written statement from the rights holder declaring that the content is being used without
authorization. Upon receipt of a compliant notice, the Company will promptly
review and, where appropriate, remove or disable access to the relevant content. The reported user shall
have the right to submit a written counter-notice explaining why their content
does not constitute infringement. The Company will handle disputes between both parties in accordance with
applicable laws and these Terms.
5. Data Storage and Backup

Enterprise/Commercial Version: Business card data scanned via the App will be stored in the enterprise
management platform cloud.
-
Cloud Convenience and Autonomy: To provide a seamless cross-device experience and prevent data loss due to
device misplacement, the business card data you scan or create via the App
will be securely synced and stored on our cloud servers. The sole purpose of this cloud storage is for your
convenience. You retain full ownership and control of all business card data
you input.

Export and Backup Mechanism: Despite the cloud sync provided by the Service, we strongly recommend that you
utilize the export features (single or batch export of VCF contacts or Excel
files) to regularly back up your data to your personal storage, ensuring your absolute control over your
data.
6. OCR Business Card Scanning Service
-
The App provides business card scanning and optical character recognition (OCR) functionality. After taking
a photo or selecting an image via camera or photo library, the system will
invoke the OCR model to detect text and deduct one scan credit.
-
Each new user will receive 10 free trial scan credits. After free credits are exhausted, additional scan
credit packages must be purchased using SCOINS.
-
Scan credits are one-time purchases, not subscriptions. All purchases are non-refundable, except in cases of
account theft or system errors that result in abnormal deduction of scan
credits.
-
The App may use generative AI models to assist with business card text recognition, correction, or
information extraction. When using this feature, the business card images and content
you capture or upload will be transmitted to the AI model for processing. To continuously improve service
quality and recognition accuracy, the business card images and text information
you transmit may be used by the Company or the integrated AI models for machine learning and model
optimization training. The Company will implement reasonable technologies and measures
to de-identify or anonymize the data as much as possible prior to training to protect your privacy. If your
business card data contains sensitive or confidential information, please
assess whether it is appropriate to process such data through this feature before use. AI recognition
results may contain errors or inaccuracies and are provided for reference only.
You should verify and correct recognition results yourself. We are not responsible for any consequences
arising from recognition errors.
7. In-App Purchases

The Service contains in-app purchase items (such as SCOINS tokens, electronic business card template
products, value-added service features, scan credit packages, etc.). Prices are
clearly displayed within the Service interface.
-
Purchasing in-app items grants you only the right to use such items within the Service; related intellectual
property rights are not transferred through purchase transactions.
-
You fully understand that any in-app purchase items cannot be converted to real-world currency or goods.
-
All paid in-app purchase items are non-refundable directly by the Company, except in cases of account theft
verified by the Company, or as otherwise mandated by law. Since in-app
purchase transactions are processed by third-party application stores (such as the Apple App Store or Google
Play), any refund requests must be submitted directly to the respective
platform in accordance with their refund policies and procedures. The Company cannot directly intervene in
or process refunds, but will assist by providing relevant documentation,
such as your account purchase records and transaction timestamps, upon request.

Price Change Notification: The Company reserves the right to adjust the prices of in-app purchase items at
any time. Price adjustments shall not affect items already purchased by
users. Should the Service introduce subscription-based or other recurring fee plans in the future, the
Company will notify users at least thirty (30) days prior to any price change
taking effect, via in-app notification, email, or other appropriate means. Users who do not agree with the
new pricing shall have the right to discontinue use of the relevant paid
services before the change takes effect.

Exclusion of Cooling-Off Period: The SCOINS, scan credit packages, and other virtual items for in-app
purchase provided by the Service constitute "digital content not supplied on a
tangible medium or online services completed upon provision." In accordance with the Taiwan Consumer
Protection Act, you agree that upon completion of the purchase process, the 7-day
right of rescission under Article 19, Paragraph 1 is excluded, and you shall not be entitled to a 7-day
cooling-off period for refunds.

Purchases by Minors: If you are a minor under the age of 18 with limited capacity to make juridical acts,
you must obtain prior consent from your legal representative (such as parents
or guardians) before making any in-app purchases (such as purchasing SCOINS). Upon completion of the payment
process, it shall be presumed that you have lawfully obtained the
permission of your legal representative, and the Company will provide the Service accordingly.
8. SCOINS Terms and Conditions

All rights related to SCOINS (including but not limited to trademarks, copyrights, patents, and other
intellectual property rights) are owned by the Company and/or third parties who
have granted such rights to the Company.

The Company grants users the right to use the SCOINS service, subject to the following conditions:
- You shall not engage in fraud or other criminal activities through the Service.
- You shall not misuse the Service in a manner that interferes with or threatens the Company's
operations.
- You shall not obtain SCOINS through illegal or improper means using multiple accounts.
- You shall not input or provide false or misleading information.

The Company reserves the right to deny violating users access to SCOINS or suspend their use. If a user's
account is suspended due to violations, their SCOINS will be restricted and
they may not obtain further SCOINS or seek any compensation or restoration from the Company.

The Company reserves the right to modify the SCOINS service or exchange rates without prior notice, and
retains final interpretation rights.
-
SCOINS ownership may not be inherited, transferred, lent, pledged, or mortgaged.
-
Users may earn SCOINS by participating in or completing specific features or tasks within the Service. Users
should only acquire SCOINS within the Service; SCOINS obtained through
non-Company-certified channels are invalid.
-
SCOINS obtained for free through activities cannot be converted back to any fiat currency or refunded to the
user. For SCOINS purchased by the user, upon termination of this contract
(account deletion), the user may apply for a refund of the unconsumed balance. The Company will process the
refund after deducting necessary handling fees (not exceeding 30% of the
refund amount) in accordance with the law.

SCOINS are categorized into "Purchased" and "Free". Purchased SCOINS have no expiration date; free SCOINS
are time-limited, and if they expire unused, users cannot demand compensation
or restoration for any reason. When deducting credits, the system will prioritize deducting free SCOINS.

If a user violates these Terms in obtaining or using SCOINS, the Company may suspend all SCOINS services and
seek compensation from the violating user for any resulting losses
(including but not limited to litigation costs and attorney fees).
9. OCR Scan Credit Packages
-
The Service offers scan credit plans in various quantities and pricing tiers, available for purchase with
SCOINS. Actual plan details and pricing are as displayed within the App.

The above credit packages are one-time purchases, not subscriptions. All purchases are non-refundable.
-
The Company reserves the right to adjust scan credit package contents, pricing, or combinations at any time.
Adjustments shall not affect credits already purchased.
10. Reporting and Appeals
-
If your public business card information is reported by any person or other users, the Company will review
the report upon receipt. If the reported user is found to have violated the
Terms, the Company may suspend the account or delete the account content in accordance with relevant rules.

If public information receives mass reporting and the Company preliminarily determines there is a
significant suspicion of a violation of laws or these Terms, the Company may
temporarily suspend your account access for investigation without your consent or prior notice. During the
suspension period, the Company will clarify the matter as soon as possible.
Users may also submit appeals and relevant evidence through the designated customer service channels. The
Company will restore access or terminate the account based on the review
results.

11. Account Deletion

Registered users may delete their SPIDERCARD account within the App. The Service will provide two
confirmation prompts and inform the user of the deletion processing period (7
business days).

After account deletion, except for the lawful refund application for paid and unconsumed SCOINS, the Company
will not process any refunds for free SCOINS or any other virtual items.
-
After account deletion, all remaining SCOINS and purchased items in the account will be permanently
destroyed. Even accidental account deletion cannot be reversed by the Company.
-
Please note that the deletion of your account does not mean that the business card data already exchanged,
shared, and stored in other users' devices or enterprise clouds will be
synchronously removed. The Company has neither the right nor the obligation to intervene and delete your
business card information lawfully retained by third parties.

Survival: Upon termination of these Terms or account deletion, the following provisions shall remain in full
force and effect: Section 4 (User Content License and Guidelines),
Section 8 (SCOINS Terms and Conditions), Section 13 (Intellectual Property), Section 14 (Liability and
Indemnification), Section 15 (Warranty Disclaimer), Section 18 (Governing
Law and Dispute Resolution), and any other provisions that by their nature should survive termination.
12. Account Theft and Refund Policy

If a user's account is compromised due to data theft resulting in suspension or deletion, the user should
prepare personal identification documents and incident records and immediately
notify the Company.
-
Upon the Company's confirmation that the incident was not caused by the account holder, the Company shall
assist the user in creating a new account or partially restoring data from
the old account (only to the extent technically feasible, with no guarantee of complete data recovery), and
restoring lost paid items (such as SCOINS). However, the Company shall
not provide any monetary compensation equivalent to the value of such items.
13. Intellectual Property

The App and all related rights, including but not limited to source code, interface design, graphics,
trademarks, text content, and all related intellectual property rights, are the
exclusive property of the Company or its licensors.

The App may use or integrate third-party services, libraries, or content. Rights to such third-party
elements belong to their respective owners.
14. Liability and Indemnification
-
Except in cases of intentional misconduct or gross negligence by the Company, SPIDERCARD, including its
partners, affiliates, contractors, officers, directors, employees, and agents,
shall not be liable for any loss of profits, data loss, or any other indirect damages related to the
Service.

If you violate these Terms of Service (including but not limited to uploading another person’s business card
without authorization, impersonating others, infringing on others’ privacy, or engaging in any unlawful
activities), and such actions result in any third party filing complaints, claims, or legal actions against
SPIDERCARD or its partners, you agree to take full responsibility for resolving such matters and to
indemnify and hold SPIDERCARD harmless from any and all losses, liabilities, damages, and expenses incurred
as a result (including, without limitation, settlements, administrative penalties, and reasonable attorney’s
fees).

The Service must not be used to handle any emergency matters, such as contacting fire departments, police,
or other emergency services.
-
Except in cases of intentional misconduct or gross negligence by the Company, in no event shall the
Company's total liability for all damages exceed the total amount actually paid by
you for use of the Service in the twelve months preceding the event giving rise to the claim.
15. Warranty Disclaimer

The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
-
We do not guarantee that the App's functionality will meet your requirements, nor that its operation will be
uninterrupted due to force majeure, network issues, or routine system
maintenance and upgrades. Regarding routine maintenance, we will make reasonable efforts to announce it in
advance. The Company shall not be liable for any damages resulting from
such service interruptions.

We do not guarantee the accuracy, completeness, or timeliness of AI recognition results, but commit to
continuously optimizing the system to better meet user needs.

Some jurisdictions do not allow the exclusion of implied warranties or limitations on statutory rights of
consumers; therefore, the above exclusions and limitations may not apply
to you.
16. Advertising
The Company reserves the right to provide advertising and any commercial promotions to users within the Service.
17. Privacy Protection
We will make every reasonable effort to protect the information you transmit to us or obtain from our Service. For
more details, please refer to the SPIDERCARD Privacy Policy.
18. Governing Law and Dispute Resolution

The interpretation and application of these Terms shall be governed by the laws of the Republic of China
(Taiwan).

If negotiation fails, both parties agree to submit to the jurisdiction of the Taipei District Court of
Taiwan as the court of first instance. However, if exclusive jurisdiction
applies under the law, or if Article 47 of the Consumer Protection Act or Article 436-9 of the Code of Civil
Procedure of Taiwan applies, such provisions shall prevail.

20. General Provisions

Entire Agreement: These Terms and the referenced Privacy Policy constitute the entire agreement between you
and the Company regarding the use of the App.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining
provisions shall continue in full force and effect.

Waiver: The Company's failure to exercise or enforce any right or provision of these Terms shall not
constitute a waiver of such right or provision.
-
These Terms and the Privacy Policy together constitute the entire agreement between you and the Company. In
the event of any conflict or inconsistency between these Terms and the
Privacy Policy, the Privacy Policy shall prevail with respect to the collection, processing, and use of
personal data; for all other matters, these Terms shall prevail. The full
Privacy Policy is available within the App or on the Company's official website.

App Store Terms: The App may be available for download through the Apple App Store, Google Play, or other
application distribution platforms. When downloading and using the App, you
must also comply with the terms and conditions of the applicable download platform. Regarding in-app
purchases and refunds, where platform terms differ from these Terms, the
platform's refund policies may take precedence. The Company is not the operator of such platforms and shall
not be liable for their services, policies, or decisions.

Language Prevalence: These Terms are provided in both Traditional Chinese and English versions. In the event
of any discrepancy, conflict, or inconsistency in interpretation or
meaning between the Chinese and English versions, both parties agree that the Traditional Chinese version
shall prevail.
